All companies in Singapore must be registered with the Accounting and Corporate Regulatory Authority in Singapore (“ACRA”) and abide by the Companies Act.  The ACRA governs the reporting and statutory obligations of companies and its officers.

Singapore Company Incorporation

You can incorporate various type of business entities in Singapore, including:

  • Private limited companies
  • Foreign company’s affiliate (branch office, subsidiary, representative office)
  • Limited Liability Partnerships
  • Sole Proprietorships

Most Singapore companies are registered as private limited liability companies (commonly known as private limited companies).  It is a separate legal entity. Shareholders are not liable for the company’s debts beyond the amount of share capital they contributed.  According to the Singapore Companies Act, any person (foreign or local) above the age of 18 can register a Singapore company.

Registered Office

A company must have a local registered address from the date of incorporation. Our office is available for use as the registered office.

Striking off

If a company is no longer doing business, an application can be made to ACRA to strike the company’s name off the Company Register.  We can assist with the strike-off application to ACRA.

Immigration and work passes

Non-residents who wishes to work in Singapore requires a work visa before they can legally begin employed.  Companies that hire non-residents without valid work pass beaches the Employment of Foreign Manpower Act.  We are able to assist business owners navigate Singapore’s Immigration regulations.

Employment pass (“EP”) application and renewal

EP is issued to professionals, managerial personnel, executives or specialists who wishes to work in Singapore.  The employer needs to apply on behalf of the candidate.  The candidate must earn at least $3,600 to qualify (more experienced candidates need higher salaries).

Our EP service covers:

  • Pre-application advising and information gathering
  • Filing of EP application
  • Track application status while under processing
  • Response to MOM’s request for additional information, where necessary
  • Arranging for issuance of EP upon principal approval
  • Filing of appeals in event of unsuccessful EP application

Entrepreneur pass (“EntrePass”) application

EntrePass is designed for entrepreneurs who have (or intent to start) a private limited company in Singapore.  There is no stipulated minimum salary for EntrePass and has a validity of 1 year.  Your proposed business needs to meet certain requirements for you to be eligible for an EntrePass.  These may include funding from an accredited source, intellectual property, research collaboration or being an incubatee.

 

Personalised Employment Pass (“PEP”) application

PEP is a special type of Employment Pass issued to top-tier individuals based on their merits. The PEP is independent of any employer; hence its holder can switch employers without affecting the status of the pass.  PEP is targeted for highly qualified individuals who wish to work or live in Singapore.

Dependant’s pass (“DP”) application and renewal

Eligible work visa holders are entitled to bring immediate family member to live in Singapore on a Dependent Pass.  To qualify, the sponsoring work visa holder must earn a minimum fixed salary of $5,000.  The status of the DP is connected to the validity of the Singapore work visa.

Letter of Consent (LOC) application

A person holding a DP or Long Term Visit Pass (“LTVP”) can apply for a LOC from the MOM to work in Singapore.  To be eligible, the applicant need to be one of the following:

  • An LTVP or LTVP+ holder who is married to a Singaporean or permanent resident.
  • A DP’s Pass holder who is a dependant of an Employment Pass, EntrePass or PEP holder.
  • Have secured a job offer with a Singapore employer

Note: If you are a dependant of an S Pass holder, you should apply for a Work Permit, S Pass or Employment Pass instead.

Permanent Residence (“PR”) application

Non Singaporeans can become a Singapore Permanent Resident (“SPR”) by obtaining an Entry Permit.  This is an application for SPR.  The following categories of foreigners are eligible to submit application for SPR:

  • Spouse and unmarried children (below 21 years old) of a Singapore Citizen (“SC”)/Permanent Resident (“SPR”);
  • Aged parents of a Singapore Citizen;
  • P, Q or S work pass holders working in Singapore;
  • Investors/Entrepreneurs
